Delivery Rider Partner Agreement
Terms governing your use of the ProntoMigo SRL platform as an independent delivery rider partner.

1. Parties and acceptance
This Delivery Rider Partner Agreement ("Agreement") is entered into between ProntoMigo SRL ("ProntoMigo", "we", "us"), with registered office at Viale Nicolo Biondo n. 2, 41012 Carpi (MO), Italia, VAT 03007100351, and the individual registering as a delivery rider on the platform ("Rider", "you").
By creating a rider account, checking the acceptance box and completing onboarding, you confirm that you have read, understood and agree to be bound by this Agreement, our Privacy Policy at https://prontomigo.com/privacy, and any service-specific policies referenced herein.
If you do not agree, you must not use the rider application or accept delivery assignments through the platform.
2. Definitions
- Platform: the ProntoMigo SRL website, rider mobile application, APIs and related operational systems.
- Delivery job: a request to collect goods from a merchant or pickup point and deliver them to a customer, offered to you through the platform.
- Delivery fee: the customer-facing charge for delivery shown at checkout or agreed for the job, before platform deductions and payment processing adjustments.
- Rider share: your entitlement to 80% (eighty per cent) of the Delivery fee on each completed Delivery job, as further described in Section 7.
- Minimum compensation: the floor amount per completed Delivery job published in the rider app or dashboard, where applicable in your service area.
- Merchant: an independent business selling goods through the marketplace.
- Dispatch offer: a non-binding notification of an available Delivery job that you may accept or decline without penalty, subject to Section 6.
3. Independent contractor status
You provide delivery services as an independent contractor (collaboratore autonomo), not as an employee, agent, franchisee or legal representative of ProntoMigo, unless mandatory law or the factual way the relationship is performed requires a different classification.
You are free to:
- decide whether and when to go online and receive Dispatch offers;
- accept or decline individual Delivery jobs without coercion, penalty fees or hidden algorithmic retaliation solely for lawful refusals;
- disconnect from the app when you are not performing accepted jobs;
- use other platforms or channels for delivery work, provided you do not breach this Agreement.
ProntoMigo provides technology intermediation connecting you with Merchants, customers and delivery opportunities. You remain responsible for your tax, social security, vehicle, insurance (where not provided under Section 8) and regulatory obligations, subject to any mandatory protections that Italian platform-work rules apply to rider activity.
Nothing in this Agreement creates an employment relationship, partnership or joint venture between the parties, and nothing excludes mandatory rider protections that cannot lawfully be waived.
4. Eligibility, onboarding and verification
To operate as a Rider on the platform you must:
- be at least 18 years of age and legally entitled to work in Italy;
- hold valid identity documents and, where required, a valid residence or work permit;
- provide accurate personal, tax, fiscal code/Partita IVA where applicable, contact and payout information during onboarding;
- upload documents reasonably required for admin review, including identity, right-to-work, vehicle, driving licence and insurance documents where applicable;
- complete identity verification and any background or safety checks we reasonably require and that are permitted by law;
- complete Stripe Connect or another approved payout onboarding flow, including bank details such as IBAN/BIC where required by the payment provider;
- maintain an active smartphone compatible with the rider application.
ProntoMigo's admin team reviews your application before activation. We may create or prepare the Stripe Connect onboarding workflow from the admin dashboard, but you must provide sensitive payout information only through Stripe or another approved secure flow unless we expressly provide a lawful alternative. We may approve, reject, suspend or request additional documentation to protect customers, Merchants and platform integrity. You must notify us promptly of any material change to your legal name, tax ID, address, vehicle, insurance, payout eligibility or driving eligibility.
5. Delivery services covered
Through the platform you may perform last-mile delivery services including, where enabled in your service area:
- Food delivery: prepared meals and beverages from restaurants and food merchants;
- Shop delivery: grocery, retail and other goods purchased through the marketplace;
- In-city parcel delivery: small packages and items within the weight, dimension, declared-content and service limits shown in the app.
Parcel/courier jobs are enabled only where the required postal/courier authorisation or platform-enabled title is in place. You must deliver only goods assigned through the platform workflow and comply with category-specific rules (e.g. hot food handling, age verification for restricted products, prohibited goods, proof of delivery for high-value items).
ProntoMigo may enable or disable service types by zone and is not obliged to guarantee a minimum volume of Delivery jobs.
6. Dispatch, acceptance and performance
Delivery jobs are offered through non-coercive Dispatch. You receive Dispatch offers when online and may accept or decline each offer without forced acceptance, penalty fees or algorithmic retaliation solely for declining offers, subject to reasonable quality and safety standards.
When you accept a Delivery job you agree to:
- travel promptly to the pickup location shown in the app;
- verify order details and collect the correct items from the Merchant or pickup point;
- deliver safely to the customer address using the route guidance provided;
- follow handoff, contactless delivery and proof-of-delivery instructions where applicable;
- treat customers, Merchants and platform staff professionally.
Repeated failure to complete accepted jobs, excessive cancellations after acceptance, fraud, or unsafe conduct may affect your access to Dispatch offers, ratings and account status after review. Lawful refusals before acceptance and disconnection when you are not performing accepted jobs are not treated as misconduct.
7. Compensation, fees and payouts
7.1 Rider share. On each completed Delivery job, you receive 80% (eighty per cent) of the Delivery fee attributed to that job. ProntoMigo retains the remaining 20% as a platform service fee for intermediation, technology, support and operational costs.
7.2 Minimum compensation. Where a Minimum compensation amount applies in your zone, your payout for an eligible completed Delivery job will not fall below that published floor, after application of the Rider share calculation and before payment processing adjustments.
7.3 Tips. Customer tips, where permitted and shown separately, are paid to you in full unless otherwise stated in the app at the time of the order.
7.4 Adjustments. Refunds, cancellations, customer complaints upheld after investigation, or chargebacks may result in proportional adjustments to your earnings for the affected Delivery job, subject to human review where the adjustment is disputed or materially affects your payout.
7.5 Payouts. Earnings are processed through Stripe Connect or another approved provider according to the schedule shown in your rider account. You are responsible for accurate bank and tax details, including IBAN/BIC where required. Do not send full bank credentials by ordinary email unless we specifically provide a secure legal process.
8. INAIL insurance coverage
For Delivery jobs performed through the platform while you are logged in and actively engaged in a job, ProntoMigo arranges and pays for INAIL (Istituto Nazionale per l'Assicurazione contro gli Infortuni sul Lavoro) insurance coverage for occupational accident risks associated with platform-mediated rider delivery activity, to the extent required by Italian platform-work rules and our insurance programme.
This coverage:
- is paid by the platform, not deducted from your Rider share;
- applies within the scope and limits of the INAIL rules or policy in force at the time of the incident;
- does not replace your obligation to maintain valid vehicle liability insurance or other mandatory cover for road traffic risks.
You must report workplace accidents promptly through the app or to info@prontomigo.com and cooperate with INAIL and insurer procedures.
9. Vehicle, equipment and safety
You must use a bicycle, e-bike or other vehicle type approved for your rider profile and service area, maintained in safe working condition.
You agree to:
- comply with the Codice della Strada and all applicable traffic rules;
- wear high-visibility equipment and use lights as required, especially at night;
- secure goods appropriately (thermal bags for food, stable load for parcels);
- not operate the vehicle while impaired by alcohol, drugs or fatigue;
- carry valid vehicle registration and insurance documents where required by law.
ProntoMigo may require periodic safety training or equipment checks. Unsafe behaviour, unroadworthy vehicles or serious traffic violations may result in immediate suspension.
10. Tax and social security obligations
As an independent contractor you are solely responsible for your tax and social security obligations, including:
- registration for Partita IVA (VAT number) or other applicable tax status where required by Italian law for your activity level;
- issuing compliant invoices or receipts for services rendered, where applicable;
- declaring income from platform deliveries and paying IRPEF, IVA and INPS contributions as required;
- complying with DAC7 and other reporting obligations where ProntoMigo is required to report platform earnings to tax authorities.
We may provide earnings summaries to assist your compliance but do not provide tax advice. You should consult a qualified commercialista or tax adviser.
11. Customer data, privacy and algorithmic transparency
You may receive personal data about customers and Merchants (names, addresses, phone numbers, order notes, parcel recipient details) solely to perform accepted Delivery jobs.
You must:
- use data only for pickup, delivery and legally required record-keeping;
- not contact customers for unrelated purposes or add them to marketing lists;
- protect data with appropriate measures and delete it when no longer needed, subject to legal retention duties.
Our Privacy Policy explains how ProntoMigo processes data. Regarding algorithmic transparency, Dispatch and offer ranking use objective criteria such as proximity, availability, vehicle/service eligibility, accepted preferences and service quality — not undisclosed punitive factors for lawful declinations. We do not process your private conversations, emotional state, sensitive inferences or off-duty location for dispatch ranking. You may request information, human intervention and review of significant automated or algorithm-supported decisions affecting your account through info@prontomigo.com.
12. Conduct standards and prohibited conduct
You must maintain professional standards and comply with platform policies at all times.
You must not:
- steal, tamper with or misappropriate orders, goods or customer property;
- harass, discriminate against or endanger customers, Merchants or other platform users;
- share account credentials or allow unauthorised persons to perform jobs under your account;
- manipulate GPS, fake deliveries or engage in fraud;
- solicit customers or Merchants to bypass the platform for orders originating through ProntoMigo;
- use the platform while subject to a driving ban or without required authorisations.
We may investigate complaints, suspend access and report serious misconduct to authorities.
13. Suspension and termination
You may stop using the platform at any time by going offline and closing your rider account, subject to completion of accepted Delivery jobs and settlement of amounts due.
We may suspend or terminate your account for material breach, fraud, safety risks, legal compulsion, repeated quality failures, document expiry, payout-provider restriction or loss of eligibility. Urgent safety, fraud or legal cases may require immediate action.
Where reasonable and legally possible, we will provide the reasons, notice and an opportunity to remedy non-material breaches. You may challenge suspension, termination or material access restrictions by contacting info@prontomigo.com with supporting evidence. We do not suspend or terminate accounts solely by automated means without meaningful human review where required by law.
Upon termination:
- your access to Dispatch offers will cease;
- pending payouts will be processed subject to adjustments, chargebacks, payment-provider restrictions and lawful holds;
- confidentiality, data protection and indemnity obligations survive.
14. Liability and indemnity
To the maximum extent permitted by applicable law, ProntoMigo is not liable for indirect, consequential or punitive damages arising from your use of the platform.
You are responsible for claims arising from your driving, vehicle, breach of traffic laws, mishandling of goods or breach of this Agreement. You agree to indemnify ProntoMigo against losses, fines and reasonable legal costs resulting from such claims, except to the extent caused by our wilful misconduct.
Nothing limits liability that cannot be excluded under mandatory Italian law, including death or personal injury caused by negligence where responsibility cannot be lawfully excluded.
15. Changes to this Agreement
We may update this Agreement to reflect legal, operational or commercial changes, including adjustments to the Rider share, Minimum compensation or insurance arrangements. Material changes will be notified through the rider app, email or in-app notice with a reasonable notice period.
Continued use of the platform after the effective date constitutes acceptance of the updated terms. If you do not agree, you must stop accepting Delivery jobs and close your account before the effective date.
16. Governing law, jurisdiction and contact
This Agreement is governed by Italian law. The courts of Modena have exclusive jurisdiction, without prejudice to mandatory protections that may apply to you under applicable law.

Notices to you will be sent to the email address registered on your rider account and are deemed received when sent, unless applicable law requires a different form.
